Johnson Controls is selling its commercial HVAC unit to investment firm Truelink Capital.

The company this week announced it had reached a definitive agreement to sell its Air Distribution Technologies business to Truelink, a middle-market private equity firm based in Los Angeles.

Included in the sale are brands Koch Filter, Titus, Ruskin, Krueger, PennBarry, and Tuttle & Bailey and their product lines of grilles, registers and diffusers, terminal units, fire and smoke dampers, louvers, filters and fans.

Air Distribution Technologies products are manufactured in the United States, Mexico, India, Thailand, and the United Arab Emirates in facilities that will transfer to Truelink as part of the transaction.

Terms of the deal were not shared. The transaction is expected to close in the second half of 2024, subject to the usual closing conditions. The Johnson Controls and Enviro-Tec brands are not included in the deal.

California-based Truelink’s other investments include architectural aluminum and glass fabricator Trulite as well as marketing and training services firms.
